Welcome to Wayne Products. The terms "we," "us," and "our" refer to Wayne Products. Wayne Products operates this store and website, including related information, content, features, tools, products, and services (collectively, the "Services"). Our online store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced herein (collectively, the "Terms"), describe your rights and responsibilities when you access, browse, interact with, or purchase products through the Services.

Please read these Terms carefully. They include important provisions concerning orders, shipping, returns, warranties, limitations of liability, and other legal rights and responsibilities.

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you should not use the Services.

SECTION 1 - ACCESS AND ACCOUNT INFORMATION

By using the Services, you represent that you are legally capable of entering into a binding agreement in your jurisdiction.

To browse, request information, create an account, place an order, or otherwise use the Services, you may be asked to provide information such as your name, company name, email address, billing information, shipping information, payment information, and other information necessary to process your transaction.

You represent and warrant that all information you provide is accurate, current, and complete and that you have the authority to provide and use such information.

You are responsible for maintaining the confidentiality and security of any account credentials associated with the Services and for activity conducted through your account.

SECTION 2 - PRODUCTS AND PRODUCT INFORMATION

Wayne Products makes reasonable efforts to provide accurate product descriptions, specifications, part numbers, dimensions, photographs, compatibility information, configuration information, pricing, and other product information.

Product photographs and illustrations are intended to represent the product accurately; however, minor differences in color, surface appearance, finish, labeling, or production details may occur due to manufacturing changes, lighting, photography, display settings, component availability, or other reasonable production variations.

Technical specifications, designs, materials, components, packaging, and product availability may be changed from time to time when necessary, provided that such changes do not materially alter the intended function of the product unless otherwise disclosed.

We reserve the right to correct product information, discontinue products, limit quantities, or change available configurations at any time.

SECTION 3 - ORDERS

When you place an order through the Services, you are making an offer to purchase the products identified in the order.

Wayne Products reserves the right to accept, decline, place on hold, modify, or cancel an order when reasonably necessary, including because of product availability, pricing or listing errors, payment issues, shipping limitations, suspected fraud, export or regulatory restrictions, or other circumstances affecting fulfillment.

If we need to modify, decline, or cancel an order, we will make reasonable efforts to contact you using the information provided with the order.

Products sold by Wayne Products may be purchased for commercial, industrial, maintenance, manufacturing, OEM, distribution, resale, export, or other lawful business purposes.

Customers are responsible for complying with applicable laws, regulations, export controls, import requirements, sanctions, resale requirements, and other legal obligations associated with the purchase, shipment, resale, installation, or use of the products.

Orders are subject to our Return and Refund Policy.

SECTION 4 - PRICES, PAYMENT, AND BILLING

Prices, discounts, promotions, and product availability are subject to change without notice unless otherwise stated in a written quotation or agreement issued by Wayne Products.

The price charged for an online order will generally be the price displayed at the time the order is submitted, subject to correction of errors or other circumstances described in these Terms.

Unless expressly stated otherwise, product prices do not include applicable taxes, shipping charges, freight charges, customs duties, import taxes, brokerage charges, or other destination-related fees.

You agree to provide accurate and authorized payment and billing information for all purchases.

If you provide a credit card or other payment method, you represent that you are authorized to use that payment method and authorize the applicable charges associated with the order.

Customers who have approved payment terms, distributor arrangements, OEM arrangements, or other account-specific pricing or terms with Wayne Products may be subject to separate written quotations, account terms, purchase-order terms accepted by Wayne Products, or order acknowledgments.

SECTION 5 - SHIPPING AND DELIVERY

Shipping methods, shipping charges, processing times, freight requirements, customer carrier-account options, international shipping, and related terms are governed by our Shipping Policy.

Most parcel-eligible products are estimated to ship the same or one business day after receipt of order, depending on current availability, order timing, product configuration, and other fulfillment requirements.

Processing times and carrier transit times are separate. Delivery dates and carrier transit times are estimates and are not guaranteed by Wayne Products.

Wayne Products is not responsible for carrier delays, weather disruptions, customs delays, transportation interruptions, or other events outside our reasonable control.

Customers should inspect shipments promptly upon delivery. If a product arrives damaged, retain the product and all packaging materials and contact Wayne Products promptly in accordance with our Return and Refund Policy.

SECTION 6 - CUSTOMER UPS ACCOUNTS

Eligible customers may request that parcel shipping charges be billed directly to their own UPS account.

By providing a UPS account number, billing ZIP or postal code, company information, and authorization through the Services, you represent that you are authorized to use that account and authorize Wayne Products to arrange shipment and bill eligible transportation charges to the account provided.

Customer-provided UPS account information is subject to verification. If an account cannot be verified, cannot be billed for the shipment, does not authorize the requested service, or otherwise cannot be used, Wayne Products may contact the customer before shipment to arrange an alternative shipping method or payment of shipping charges.

Selection of a customer UPS account generally applies to transportation charges only. Customs duties, import taxes, brokerage charges, government fees, and other destination charges may remain the responsibility of the recipient or importer unless otherwise expressly agreed in writing.

SECTION 7 - LTL FREIGHT

Certain large products, including complete Electra-Kool® Model 2000 and Model 3000 filtered blowers, may require LTL freight shipment.

Eligible LTL products may be offered with a flat-rate freight charge at checkout. The flat-rate freight amount is intended to cover normal freight service to eligible destinations.

Wayne Products reserves the right to review LTL shipments before dispatch. If freight service is unavailable to the destination, special delivery requirements apply, or the actual freight cost substantially exceeds the flat-rate amount collected at checkout, Wayne Products may contact the customer regarding alternative shipping arrangements, additional freight charges, or cancellation of the order.

If an LTL order must be canceled because suitable freight service cannot reasonably be provided, the applicable amount paid for the canceled order will be refunded.

SECTION 8 - INTERNATIONAL ORDERS

Wayne Products ships internationally. Online checkout availability may be limited by destination, product, shipping method, or other requirements.

Customers in destinations that are not available through standard online checkout should contact Wayne Products directly for a quotation and shipping assistance.

Unless otherwise expressly stated in a Wayne Products quotation or order confirmation, international customers are responsible for applicable customs duties, import taxes, brokerage fees, government charges, and other destination-country fees.

International shipments may be subject to customs review, documentation requirements, carrier limitations, export restrictions, import restrictions, and other regulations outside Wayne Products' control.

SECTION 9 - RETURNS, DEFECTIVE PRODUCTS, AND CUSTOMIZED PRODUCTS

Returns are governed by our Return and Refund Policy.

Standard products may be eligible for return within 30 days of delivery when they are new, unused, uninstalled, complete, and in resalable condition and when prior return authorization has been obtained from Wayne Products.

Approved standard returns are subject to a 20% restocking fee unless otherwise approved by Wayne Products.

Customized or modified units are not returnable.

If a product is defective, Wayne Products will review the issue and determine an appropriate resolution. When practical, Wayne Products may first provide replacement parts needed to correct the issue. If the product cannot reasonably be repaired with replacement parts, Wayne Products may provide a replacement unit or another appropriate remedy.

SECTION 10 - INTELLECTUAL PROPERTY

The Services and their content, including Wayne Products trademarks, product names, text, photographs, graphics, technical information, drawings, videos, logos, designs, and other materials, are owned by Wayne Products or their respective licensors and are protected by applicable intellectual property laws.

Except as expressly authorized, you may not reproduce, republish, distribute, modify, create derivative works from, sell, license, or commercially exploit protected content from the Services without prior written permission.

Wayne Products names, logos, product names, designs, and slogans may be trademarks of Wayne Products or its affiliates or licensors. Shopify trademarks remain the property of Shopify. Other trademarks appearing through the Services belong to their respective owners.

SECTION 11 - AUTHORIZED AUTOMATED ACCESS, SEARCH ENGINES, AND AI AGENTS

Wayne Products permits legitimate search engines, shopping platforms, product-discovery services, authorized artificial-intelligence systems, and other automated services to access publicly available information when such access complies with applicable law, published technical controls, applicable platform rules, and these Terms.

Automated systems, bots, scraping tools, agents, or similar technologies may not be used to access or interact with the Services in a manner that:

circumvents access controls, security measures, or authentication;
interferes with the operation, security, or availability of the Services;
places an unreasonable or excessive burden on the Services;
misrepresents its identity or purpose where identification is required;
accesses non-public, restricted, or confidential information without authorization;
violates applicable intellectual property rights; or
otherwise violates applicable law or these Terms.

Wayne Products may use technical measures, published policies, or other reasonable methods to manage or restrict automated access when necessary to protect the Services, customers, systems, intellectual property, or business operations.

SECTION 12 - OPTIONAL AND THIRD-PARTY TOOLS

The Services may provide access to features, applications, integrations, payment systems, shipping services, analytics systems, marketing systems, or other tools provided by third parties.

Third-party services may be governed by their own terms, privacy notices, service requirements, and limitations. Wayne Products does not control all aspects of third-party services and is not responsible for third-party systems except to the extent required by law.

You are responsible for reviewing applicable third-party terms when using third-party services made available through or linked from the Services.

SECTION 13 - THIRD-PARTY LINKS

The Services may contain links to websites, services, applications, or platforms operated by third parties.

Wayne Products does not control and is not responsible for the content, privacy practices, security, availability, or accuracy of third-party websites or services.

If you access a third-party website or service, you do so subject to that third party's terms and policies.

SECTION 14 - RELATIONSHIP WITH SHOPIFY

Wayne Products is powered by Shopify, which enables us to provide the Services to you. However, purchases made from our store are made directly from Wayne Products.

Shopify is not the seller of Wayne Products products and is not responsible for the products purchased from Wayne Products, including claims relating to product performance, fulfillment, warranty, injury, damage, or loss arising from Wayne Products products, except to the extent otherwise required by applicable law.

SECTION 15 - PRIVACY

Personal information collected through the Services is handled in accordance with our Privacy Policy.

Because our online store is powered by Shopify, certain information may also be collected and processed by Shopify in accordance with Shopify's applicable privacy policies.

SECTION 16 - FEEDBACK AND SUBMISSIONS

If you voluntarily provide product reviews, suggestions, ideas, recommendations, comments, photographs, testimonials, or other feedback ("Feedback"), you represent that you have the right to provide such Feedback.

Unless otherwise agreed in writing, you grant Wayne Products a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, display, and distribute Feedback for legitimate business purposes, including operating, improving, and promoting our products and Services.

You may not submit Feedback that is unlawful, defamatory, infringing, fraudulent, malicious, misleading, obscene, or otherwise violates the rights of another party.

SECTION 17 - ERRORS, INACCURACIES, AND OMISSIONS

Information available through the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, specifications, pricing, promotions, shipping charges, transit times, availability, compatibility, or other information.

Wayne Products reserves the right to correct errors or omissions and to update information or cancel or modify an affected order when reasonably necessary, including after an order has been submitted.

SECTION 18 - PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services:

for unlawful, fraudulent, deceptive, or malicious purposes;
to violate applicable federal, state, provincial, local, or international law;
to infringe intellectual property, privacy, or other legal rights;
to transmit malicious code, viruses, or harmful software;
to obtain unauthorized access to systems, accounts, or information;
to interfere with the security, integrity, or operation of the Services;
to impersonate another person or entity;
to transmit false or misleading information;
to engage in abusive, threatening, defamatory, or unlawful conduct;
to collect personal information without authorization;
to send spam, phishing communications, or unauthorized solicitations; or
to circumvent technical restrictions or security controls.

Wayne Products reserves the right to suspend or restrict access to the Services when we reasonably believe these Terms have been violated.

SECTION 19 - TERMINATION

Wayne Products may suspend or terminate access to the Services when reasonably necessary, including for violation of these Terms, suspected fraud, unlawful conduct, security concerns, or misuse of the Services.

Obligations and provisions that by their nature should survive termination will continue to apply, including intellectual property provisions, payment obligations, disclaimers, limitations of liability, indemnification, governing law, and other applicable provisions.

SECTION 20 - DISCLAIMER OF WARRANTIES

Except for warranties, representations, or remedies expressly stated in Wayne Products product documentation, written quotations, written warranty terms, or as otherwise required by applicable law, the Services are provided on an "as available" basis.

Wayne Products does not warrant that access to the website will always be uninterrupted, secure, or error-free.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED BY WAYNE PRODUCTS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.

SECTION 21 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WAYNE PRODUCTS, ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST PRODUCTION, LOST DATA, LOSS OF USE, OR SIMILAR DAMAGES ARISING FROM OR RELATED TO THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES, EXCEPT TO THE EXTENT SUCH LIABILITY CANNOT BE LIMITED OR EXCLUDED BY LAW.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

SECTION 22 - INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify and hold harmless Wayne Products, Shopify, and their respective affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from:

your material breach of these Terms;
your unlawful use of the Services;
your violation of applicable law; or
your violation of the rights of another party.

SECTION 23 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law and the remaining provisions will remain in effect.

SECTION 24 - WAIVER AND ENTIRE AGREEMENT

Failure by Wayne Products to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms, together with policies incorporated by reference, govern use of the Services.

For a specific commercial transaction, a written quotation, order acknowledgment, distributor agreement, OEM agreement, written account terms, or other written agreement issued or accepted by Wayne Products may contain additional or different terms. In the event of a direct conflict relating to that transaction, the specific written agreement accepted by Wayne Products will control to the extent of the conflict.

SECTION 25 - ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Wayne Products.

Wayne Products may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, corporate reorganization, or other lawful business transaction.

SECTION 26 - GOVERNING LAW

These Terms and transactions with Wayne Products will be governed by the laws applicable in the Commonwealth of Pennsylvania and the United States, without regard to conflict-of-law principles, except where another law is required to apply.

Subject to applicable law and any separate written agreement, disputes arising from these Terms or the Services will be resolved in courts having appropriate jurisdiction in or serving Delaware County, Pennsylvania.

SECTION 27 - HEADINGS

Section headings are provided for convenience and do not limit or otherwise affect the interpretation of these Terms.

SECTION 28 - CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in our products, business practices, Services, legal obligations, or other operational requirements.

The current version will be posted on this page with an updated revision date. Material changes will be communicated when required by applicable law.

Continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
